This Terms of Use ("TOU" or the "Agreement") is a legally binding contract between Technitive Solutions Pvt Ltd. (also referred to in this Agreement as "RoboResponse, RoboResponse.ai," "We," "Us" or "Our") and You or the company or legal entity You represent as a user of or subscriber to www.roboResponse.ai site( also referred to as "sites, website") or services ("You" or "User" or "Customer" or "Subscriber" or “Client”).
Through this site and many of our services, RoboResponse.ai offers businesses, organizations, and individuals access to a diverse collection of resources related to automated response as hosted services, software, and tools; consulting advice; services and automated response-related support materials; training content, such as blogs, webinars, videos, templates, guides, books, social media content, user-generated content, personalized content, industry surveys, and user-feedback polls; and including, without limitation, application program interfaces ("APIs"). We refer to these resources collectively as "Services" throughout this Agreement.
You may access certain portions of the RoboResponse.ai Sites or Services with a free account as a trial user ("User",) whereas any person who pays for any portion of the Sites or Services shall be referred to herein as either a "Subscriber" or "Customer" throughout this Agreement. If You are using RoboResponse.ai Sites or Services on behalf of a company or other entity, then "Customer" or "Subscriber" means that entity, and You are also binding that entity to this Agreement. You also represent and warrant that You have the legal power and authority to enter into this Agreement and that, if the Subscriber or Customer is an entity, this Agreement is entered into by an employee or agent with all necessary authority to bind that entity to this Agreement.
These Terms govern your access to and use of the Service provided by Technitive Solutions Pvt Ltd, a company incorporated in Pune, Maharashtra, India. By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
By accessing or using the Service, you represent and warrant that you are at least 18 years of age, or the legal age of majority in your jurisdiction, if different, and that you have the legal authority to enter into this agreement.
To access certain features of the Service, you may be required to create an account. You agree to provide accurate and complete information when creating an account and to keep this information up to date. You are responsible for maintaining the confidentiality of your account information and for any activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Except as expressly permitted in these Terms, you may not reproduce, modify, or prepare derivative works based upon, distribute, sell, transfer, publicly display, publicly perform, transmit, or otherwise use the Service or its content.
You are solely responsible for any data, text, images, or other content that you upload, post, or otherwise provide through the Service ("User Content"). You represent and warrant that you have all necessary rights and permissions to provide such User Content and that it does not infringe or violate any third-party rights, including without limitation, any intellectual property rights, rights of privacy or publicity, or any applicable laws or regulations. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Content in connection with the Service and our business, including without limitation, for promoting and redistributing part or all of the Service (and derivative works thereof) in any media formats and through any media channels.

Any data You enter into the services during Your free trial will be permanently lost after 3 weeks of the free trial period expiry unless You purchase a subscription to the same services as those covered by the trial or purchase applicable upgraded services before the end of the trial period.
During the free trial, the services are provided as-is without any warranty.
The features included in the subscription chosen by the Client are as outlined in the specific terms and conditions applicable to that subscription. The price stated in those specific terms and conditions represents the amount to be paid by the Client to Technitive Solutions Pvt Ltd for the use of RoboResponseAI services. The payment for any selected subscription or service does not, in any circumstance, constitute the purchase of the software, software applications, or titles, or any intellectual or industrial property rights associated with the product.
Based on the contracted subscription, certain functionalities of the RoboResponseAI tool may be accessible, and a specific number of users may be authorized to access the platform. If the Client desires to expand the functionalities of the platform or increase the number of users with access to it, Technitive Solutions Pvt Ltd will provide a proposal to modify the Client's current subscription to another plan that caters to the new requirements.
The price You must pay to Technitive Solutions Pvt Ltd for the use of RoboResponseAI services will correspond to the type of subscription contracted, and may be subject to additional charges based on the volume of usage. The payment will be processed in the following manner:
Additional fees may apply based on the volume of services provided, which will be billed on a monthly or yearly basis and paid in accordance with the payment options outlined in this section. In case of non-payment of any invoice, Technitive Solutions Pvt Ltd will send a notice to You for rectification within a period not exceeding 2 working days.
If there is a reasonable negotiation in good faith and diligent cooperation to resolve the breach, Technitive Solutions Pvt Ltd may extend the period established for rectifying the payment. Technitive Solutions Pvt Ltd reserves the right to suspend the service after this period.
Users who subscribe for the free trial of RoboResponseAI get 14-day free trial access to the trial version of RoboResponseAI. You can cancel Your Subscription Plan at any time during the free trial. To continue using RoboResponseAI at the end of the fourteen-day free trial, You have to choose a paid plan, for which You can pay monthly or annually. When the free trial ends, You shall no longer have access to the Services, and the free trial terms shall no longer apply. During oResponseAI. You can cancel Your Subscription Plan at the 14-day Free Trial, You may (i) export Your Data from the Services by using the data export function within the RoboResponseAI platform; or (ii) may contact RoboResponseAI customer support to upgrade to a paid Subscription Plan. Your data may be stored with us for a period of ninety days after the free trial and non-renewal of the Subscription Plan
To provide continuous Services, RoboResponseAI automatically renews each paid Subscription Plan every month or on an annual basis (“Subscription Fee”). Your Subscription Plan renews on the same terms until You cancel at any time by using any of the authorized cancellation methods. A cancellation is effective on the next renewal date of Your Subscription Plan following Your notice of cancellation, and You may continue to use the Services until that time.
You must provide and at all times maintain accurate, complete, and current billing information, including but not limited to Your billing address, credit card number, and credit card expiration date. If You fail to disclose any such information, You agree that RoboResponseAI may continue to charge You for any use of the paid Subscription Plan unless You have terminated Your paid Subscription Plan as set forth herein. If You become aware of a potential breach of security to Your billing information (such as credit card loss or theft), You must notify the Company immediately.
If RoboResponseAI is unable to collect any fees owed on Your Account, You agree that the Company may take any actions it deems necessary to collect such fees from You, including suspension or termination of Your Account. You also agree that You will be responsible for all costs and expenses incurred by the Company, such as court costs, collection fees, and attorneys’ fees incurred in connection with such collection efforts.
If Your Customer Account is active and in good standing, You are charged the Subscription Fee even if You never use the Services. You acknowledge the significant time and effort Technitive Solutions Pvt Ltd spends up-front to implement our Services and accordingly, You are not eligible for any refund, including for a partially used Subscription Plan or a downgraded Subscription Plan during a billing period. You may cancel Your paid Subscription Plan at any time.
The Company reserves the right to quote additional fees for particular Services that may be arranged by a mutual written agreement or paid for via Invoice. If the Company has entered into a separate invoicing contract with You, You agree to pay all undisputed invoices within 30 days, unless different payment due terms are agreed in such a contract, and You agree that the Company may charge a rebilling fee of 1.5% monthly (or the highest rate permitted by law) for past due invoices; You acknowledge that the Company’s detriment for Your late payment is difficult to ascertain at this time but that this rebilling fee is a reasonable estimate.
The .Company may modify its Subscription Plan at any time and from time to time with 30 days’ advance notice. In the event Your Subscription Plan has been modified, You may be required to pay a higher fee when such modification becomes effective. You will be notified at Your email address and you may exercise the opportunity to cancel Your Subscription Plan. However, You agree that if You continue to access or use Services in any manner, You will be deemed to have agreed to the terms of the modified Subscription Plan including any higher fee rate that may be applicable.
You may downgrade or upgrade Your plan at any time during an active Subscription Plan. You may also cancel Your Subscription Plan by emailing RoboResponseAI support at support@roboresponse.ai. However, the Company shall not be responsible for any data loss or other loss should You choose to modify Your Subscription Plan.
You may cancel Your paid Subscription Plan through the admin section of Your RoboResponseAI Customer Account, or by sending an email to RoboResponseAI at support@roboresponse.ai. In such a case,Your paid Subscription Plan will terminate at the end of the Subscription Plan term for which You have paid, and You will not receive any refund for any unused days of such Subscription Plan term or for any third-party billing fees You incur, such as for money conversion, rate fluctuations, bank transaction fees, overdraft fees, etc.

We understand that there might be instances where you may not be completely satisfied with our product, and we believe in offering a fair and transparent refund policy. This Refund Policy outlines the circumstances under which you may be eligible for a refund and the process for requesting a refund.

You agree that Technitive Solutions Pvt Ltd may, without prior notice, immediately terminate Your Account and restrict Your access to the Services and to RoboResponseAI Content. Such termination may be made in Technitive Solutions Pvt Ltd’s sole and absolute discretion with or without cause. For illustrative purposes only, the situations in which Technitive Solutions Pvt Ltd may terminate Your User or Customer Account and access to the Services shall include, but not be limited to: (a) requests by law enforcement or other government agencies; (b) breach or violation of the Terms of Services or other incorporated agreements or guidelines; (c) a request by You (self-initiated User or Customer Account deletions); (d) discontinuance or material modification to the Services (or any part thereof); (e) unexpected technical or security issues or problems; (f) extended periods of inactivity; (g) engagement by You in fraudulent or illegal activities; (h) nonpayment of any fees owed by You in connection with the Services; and/or (i) if we believe You have furnished us with false or misleading information, or interfered with other users’ use of the Services.
Technitive Solutions Pvt Ltd, operating as RoboResponseAI, is the data controller for the following information: professional location data (contact information and data related to the function or position held) of individuals who, in the course of providing services to You, interact with Technitive Solutions Pvt Ltd to facilitate the maintenance of the business relationship established through this agreement (hereinafter referred as "Contact Persons"). You commit to conveying the entire content of this clause to the Contact Persons. The personal data of these individuals will be processed for the following purposes:
To enable the maintenance, development, and management of the business relationship formalized through this Terms of Use agreement. The data processed for this purpose will be retained for as long as the business relationship is maintained and, once terminated, during the periods of retention and legal limitation of responsibilities. The legal basis for processing, in relation to the Contact Persons, is the legitimate interest of Technitive Solutions Pvt Ltd in maintaining the business relationship with You through them.
For these purposes, Technitive Solutions Pvt Ltd may disclose the data to public administrations for compliance with legal obligations; to state security forces and bodies and/or courts and tribunals requiring the data within the framework of an investigation, instruction, or procedure; and to banking entities for managing collections and payments. The data may also be disclosed to the following categories of data processors: providers of electronic communications, office automation, hosting, housing, computer maintenance, management, accounting, auditing, consulting, and legal representation. Some of these processors may be located outside our jurisdiction, in which case Technitive Solutions Pvt Ltd will have adopted appropriate data protection safeguards in advance.
Data subjects may exercise their rights of access, rectification, erasure, restriction of processing, data portability, the right to object, and the right not to be subject to a decision based solely on automated processing - including profiling - which produces legal effects concerning them or similarly significantly affects them. They can also withdraw their consent at any time without affecting the lawfulness of the processing prior to its withdrawal by sending their request to Technitive Solutions Pvt Ltd. In any case, data subjects have the right to lodge a complaint with the corresponding supervisory authority if they deem it appropriate.
You authorize RoboResponseAI to subcontract with the following categories of data processors (all of which are ancillary services necessary to provide the Services): Providers of electronic communications and online office automation, hosting, SaaS services such as CRM/ERP, management, accounting, auditing, and legal services. When the Processor engages another processor to carry out specific processing activities on behalf of You, it shall impose on that other processor, by contract, the same data protection obligations as those set out in these Terms of Use. If such other processor fails to comply with its data protection obligations, the Processor shall remain fully liable to You for compliance with the obligations of the other processor.
The Service may contain links to third-party websites, applications, or services that are not owned or controlled by Technitive Solutions Pvt Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites, applications, or services. You acknowledge and agree that Technitive Solutions Pvt Ltd shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with your use of or reliance on any such content, goods, or services available on or through any such third-party websites, applications, or services.
The Service is provided on an "as is" and "as available" basis, without warranty of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Technitive Solutions Pvt Ltd does not warrant that the Service will be uninterrupted, secure, or error-free, or that the results obtained from the use of the Service will be accurate, reliable, or meet your expectations.
To the maximum extent permitted by applicable law, in no event shall Technitive Solutions Pvt Ltd, its affiliates, directors, employees, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation, damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service. In no event shall Technitive Solutions Pvt Ltd's total liability to you for all damages, losses, and causes of action, whether in contract, tort (including negligence), or otherwise, exceed the amount paid by you, if any, for accessing or using the Service.
You agree to defend, indemnify, and hold harmless Technitive Solutions Pvt Ltd, its affiliates, directors, employees, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; (iii) your violation of any third-party rights, including without limitation, any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.
These Terms shall be governed by and construed in accordance with the laws of Pune, Maharashtra, India, without regard to its conflict of law provisions. Any disputes arising from or relating to these Terms or your use of the Service shall be resolved through arbitration in Pune, Maharashtra, India, in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a single arbitrator mutually agreed upon by both parties. If the parties are unable to agree upon an arbitrator within thirty (30) days of the initiation of the arbitration process, an arbitrator shall be appointed in accordance with the rules of the Indian Arbitration and Conciliation Act, 1996. The decision of the arbitrator shall be final and binding on both parties. The language of the arbitration shall be English.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief to protect its intellectual property rights or confidential information in any court of competent jurisdiction.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Technitive Solutions Pvt Ltd concerning the Service and supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and Technitive Solutions Pvt Ltd with respect to the Service. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Technitive Solutions Pvt Ltd's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of these Terms remain in full force and effect.
You may not assign your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms without restriction.
